Terms of Service for Rainflux Forecast

Welcome to Rainflux Forecast! These Terms of Service ("Terms") govern your access to and use of the Rainflux Forecast website located at www.rainfluxforecast.com (the "Site"), our mobile applications, web applications, and any other related services, features, content, or applications offered by Rainflux Forecast ("Rainflux," "we," "us," or "our") (collectively, the "Services").

By accessing or using any part of the Services, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services. These Terms constitute a legally binding agreement between you and Rainflux Forecast. We may modify these Terms at any time, and such modifications will be effective immediately upon posting the updated Terms on the Site. Your continued use of the Services after any such modifications indicates your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

1. Acceptance of Terms

By creating an account, accessing, or using the Services, you affirm that you are at least 13 years of age. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Services with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. If you are a parent or guardian agreeing to these Terms for the benefit of a child, you are fully responsible for the child's use of the Services, including all financial charges and legal liability that the child may incur.

These Terms apply to all users of the Services, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. Your agreement to these Terms also includes your agreement to our Privacy Policy, which is incorporated herein by reference. Please read both documents carefully.

The Services are provided for informational purposes only. While we strive for accuracy, weather forecasting is inherently probabilistic and subject to change. Rainflux Forecast does not guarantee the accuracy, completeness, or reliability of any weather data or forecasts provided through the Services. You acknowledge that reliance on any information provided by the Services is solely at your own risk. For critical decisions where life, property, or significant financial interests are at stake, you should always consult official governmental meteorological services and certified professionals.

3. User Accounts

To access certain features of the Services, you may be required to register for an account. When you create an account, you agree to:

Rainflux Forecast reserves the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof) if you provide any information that is untrue, inaccurate, not current, or incomplete, or if Rainflux Forecast has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete. Accounts are non-transferable.

4. User Conduct and Responsibilities

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Services by any third party. Prohibited conduct includes, but is not limited to:

Rainflux Forecast reserves the right to investigate and take appropriate legal action against anyone who, in Rainflux Forecast's sole discretion, violates this provision, including without limitation, removing the offending communication from the Services and terminating the account of such violators.

5. Intellectual Property Rights

All content, features, and functionality on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Content"), and the trademarks, service marks, and logos contained therein ("Marks"), are owned by or licensed to Rainflux Forecast, and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your use of the Services grants you no right or license to reproduce or otherwise use any Rainflux Forecast trademarks, logos, or other intellectual property. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services without the express written consent of Rainflux Forecast.

Any feedback, comments, ideas, improvements, or suggestions (collectively, "Feedback") provided by you to Rainflux Forecast with respect to the Services shall remain the sole and exclusive property of Rainflux Forecast. Rainflux Forecast shall be free to use, copy, modify, publish, or redistribute the Feedback for any purpose and in any way without any credit or any compensation to you.

6. Disclaimers and Limitation of Liability

6.1 Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RAINFLUX FORECAST EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RAINFLUX FORECAST MAKES NO WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; AND (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM RAINFLUX FORECAST OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

6.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAINFLUX FORECAST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RAINFLUX FORECAST FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID RAINFLUX FORECAST, IF ANY, IN THE LAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, RAINFLUX FORECAST'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to indemnify, defend, and hold harmless Rainflux Forecast, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Services.

This indemnification obligation will survive the termination of these Terms and your use of the Services. Rainflux Forecast reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Rainflux Forecast's defense of such claim.

8. Governing Law and Dispute Resolution

8.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of [Your Country/State, e.g., the State of Delaware, USA], without regard to its conflict of law provisions. This choice of law does not limit your rights under the laws of your country of residence.

8.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, shall be resolved through good faith negotiations between the parties.

If the parties are unable to resolve the dispute through negotiation within a reasonable period (e.g., thirty (30) days), the dispute shall be submitted to binding arbitration administered by [e.g., the American Arbitration Association (AAA) or JAMS] in accordance with its [e.g., Commercial Arbitration Rules]. The arbitration shall take place in [Your City, e.g., San Francisco, California, USA]. The arbitration shall be conducted by a single arbitrator appointed in accordance with the said Rules. The decision of the arbitrator shall be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Exception to Arbitration: Notwithstanding the foregoing, Rainflux Forecast may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Class Action Waiver: YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST RAINFLUX FORECAST ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Rainflux Forecast agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Miscellaneous Provisions

10.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Rainflux Forecast on the Services, constitute the entire agreement between you and Rainflux Forecast concerning the Services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Rainflux Forecast with respect to the Services.

10.2 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely approximates the intent and economic effect of the invalid or unenforceable provision.

10.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Rainflux Forecast's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

10.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Rainflux Forecast's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Rainflux Forecast may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

10.5 Headings
The headings in these Terms are for convenience only and have no legal or contractual effect.

10.6 Force Majeure
Rainflux Forecast shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

We encourage you to review these Terms periodically for any changes. The "Effective Date" at the top of this document will indicate when the Terms were last revised.
